Terms and Conditions for Sellers (ilkMart)

Introduction

1.1 ilkMart is an e-commerce platform owned by ilkMart, a private limited company.

1.2 These seller terms and conditions ("Seller Terms") govern the terms under which you, as a seller, access and use ilkMart’s site, services, and applications, including its mobile application (collectively, the “Services”) to sell directly to buyers. By accessing or continuing to use our Services, you agree to these Seller Terms and all other legal documents, including the Terms of Use, Terms of Sale, and Privacy Policy.

Our Services

2.1 ilkMart provides services that enable sellers to display and sell their products to registered buyers on the platform. These services may include warehousing, managing orders, organizing delivery, and payment collection.

2.2 ilkMart reserves the right to modify the appearance, functionality, and content of the platform and to delay or suspend listings at its sole discretion.

Business Models

Each seller must choose a suitable business model as outlined in the Service Addendum. Sellers must process orders promptly and comply with agreed delivery schedules. Failure to adhere to performance standards may result in account suspension or other penalties.

Seller Obligations

4.1 Sellers are responsible for understanding and complying with all legal documents, ensuring their account eligibility, and adhering to the platform’s policies.

4.2 Specific obligations include:

• Delivering products with proper packaging to minimize damage.

• Managing returns, replacements, and warranty claims.

• Providing accurate VAT details and updating product prices accordingly.

• Offering a 24-month warranty for electronic products, where applicable.

• Complying with quality inspections and addressing buyer complaints promptly.

4.3 Sellers agree to support ilkMart’s customer-focused policies by:

• Accepting returns and providing timely replacements or refunds.

• Addressing quality inspection failures and warranty claims.

• Maintaining high standards for product packaging and condition during returns.

Fees and Payments

5.1 Fees vary based on the seller’s chosen business model and may include charges for listing products, transaction commissions, delivery, and warehousing services.

5.2 Sales proceeds, minus applicable fees, are disbursed weekly to the seller’s bank account. Sellers are responsible for providing correct payment details.

5.3 ilkMart reserves the right to withhold payments for reasons including refunds, chargebacks, or unresolved disputes.

Intellectual Property

Sellers grant ilkMart a non-exclusive, royalty-free license to use their trademarks and intellectual property as required to provide the Services. Sellers may not use ilkMart’s name or logos without prior written consent.

Warranties and Representations

7.1 Sellers warrant that they:

• Have the authority to sell listed products and comply with all applicable laws.

• Ensure all products are authentic, new, and meet quality standards.

• Own the necessary intellectual property rights for their listed products.

7.2 ilkMart disclaims all implied warranties and makes no guarantees about the uninterrupted or error-free operation of its Services.

Anti-Counterfeiting

8.1 Counterfeit products are strictly prohibited on ilkMart. Sellers must ensure all products are authentic and comply with intellectual property laws.

8.2 ilkMart reserves the right to verify product authenticity and impose penalties for violations, including fines and account suspension.

Liability

9.1 ilkMart is not liable for indirect, incidental, or consequential damages arising from the use of its Services.

9.2 Sellers indemnify ilkMart against losses or claims arising from their use of the platform, including product defects, intellectual property disputes, or legal violations.

Account Suspension and Termination

10.1 ilkMart may suspend or terminate a seller’s account for violations of these terms, poor performance, or regulatory risks.

10.2 Termination does not affect accrued rights or obligations and certain provisions may survive termination.

Confidentiality

11.1 Sellers must maintain the confidentiality of any proprietary information provided by ilkMart and may only disclose such information on a need-to-know basis.

General Provisions

12.1 ilkMart may transfer its rights and obligations under these terms to an affiliate without prior notice.

12.2 Governing law, dispute resolution, and other general terms are incorporated by reference from the Terms of Use.
